Purpose of Role

The Zambia Postal Service Corporation Secretary is responsible for managing and directing the activities of the Legal Department and render legal services, duties including planning, directing and coordinating the work of the Legal Staff.

Duties and Key Responsibilities

  1. Developing and setting up the Corporation’s legal and compliance strategy, frameworks and procedures.
  2. Provide guidance to the board of directors on their legal and regulatory obligations, ensuring adherence to corporate governance best practices.
  3. Monitor and ensure compliance with relevant laws, regulations, and industry standards, including corporate law and sector-specific codes of practice.
  4. Organize and coordinate board meetings, committee meetings, and annual general meetings (AGMs), including preparing agendas and distributing meeting materials.
  5. Accurately record minutes of meetings, ensuring that decisions and actions are documented and communicated effectively.
  6. Facilitate the orientation of new directors and assist in their ongoing training and development to ensure they understand their roles and responsibilities.
  7. Ensure the secure storage and management of key corporate documents, such as the certificate of incorporation, bylaws, and share certificates.
  8. Oversee the signing and sealing of legal documents, ensuring compliance with company policies and legal requirements.
  9. Ensure that the company adheres to industry best practices in corporate governance and compliance.
  10. Reviewing all legal documents relating to operations.
  11. Providing support and spearheading legal due diligence for any new projects.
  12. Providing legal, financial and/or strategic advice during and outside of meetings.
  13. Keeping up to date with any regulatory or statutory changes and policies that might affect the organization and ensuring timely incorporation of changes.
  14. Ensuring that company policies are up to date and a culture of compliance is maintained across the company.
  15. Developing budget recommendations to support systematically planned programs of legal actions and establish controls for the efficient deployment of resources within the approved budget.
  16. Performs any other duties as may be assigned by the Postmaster General / Chief Executive Officer.

  • Ability to provide competent legal advice and counsel to the Senior Management team on a wide range of legal and policy issue.

Qualifications/Requirements

  • Full Grade Twelve (12) certificate.
  • Bachelor of Law Degree (LLB).
  • Advocate of the High Court of Zambia.
  • Post Graduate Degree (preferred/added advantage).
  • At least 5 – 10 years relevant work experience.
